These Terms and Conditions ("Terms") govern your access to and use of Mimicall (the "Service"), operated by AEGONTECH LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Mimicall is an AI-powered platform that allows users to create custom AI personas and receive phone calls from those personas on their verified phone numbers. The Service includes persona creation, voice selection, call scheduling, credit-based billing, and related features.

2. Eligibility

You must be at least 18 years old and capable of forming a binding legal agreement to use the Service. By using Mimicall, you represent and warrant that you meet these requirements.

3. Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate and complete information when creating your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Credits and Payments

• Mimicall uses a credit-based system. Credits are required to place AI phone calls.
• Credits are purchased through the Service via Stripe. All prices are in US Dollars.
• Credits are non-transferable and have no cash value.
• Credits do not expire as long as your account remains active.
• We reserve the right to change credit pricing at any time. Existing purchased credits are not affected by price changes.

5. Refund Policy

Due to the nature of the Service, all credit purchases are final. Refunds may be considered on a case-by-case basis at our sole discretion in the event of a technical error that prevented the Service from being delivered. To request a refund, contact support@mimicall.app within 7 days of the transaction.

6. Acceptable Use

You agree not to use the Service to:

• Harass, threaten, or intimidate any person
• Impersonate a real individual with intent to deceive or defraud
• Place calls to numbers you do not own or have authorization to receive calls on
• Generate content that is illegal, harmful, abusive, or violates the rights of others
• Attempt to bypass phone number verification or any security measures
• Use the Service for telemarketing, robocalling, or any commercial solicitation
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Interfere with or disrupt the Service or its infrastructure

We reserve the right to suspend or terminate your account without notice if we determine, in our sole discretion, that you have violated these acceptable use terms.

7. AI-Generated Content

The phone calls you receive through Mimicall are generated by artificial intelligence. AI personas are fictional characters and do not represent real people unless explicitly configured by you. We do not guarantee that AI-generated speech will be accurate, appropriate, or error-free. You acknowledge that AI responses are generated algorithmically and may occasionally produce unexpected results.

8. Phone Number Verification

Mimicall only places calls to phone numbers that have been verified by you through our OTP verification process. You represent that you are the owner or authorized user of any phone number you add to the Service. Placing calls to unverified or unauthorized numbers is strictly prohibited.

9. Voice Cloning

If you use the voice cloning feature, you represent and warrant that you have obtained all necessary consents from any individual whose voice you submit for cloning. You are solely responsible for ensuring that your use of cloned voices complies with applicable laws and regulations. We reserve the right to remove cloned voices that we believe violate these Terms or any applicable law.

10. Intellectual Property

The Service, including its design, features, code, and branding, is owned by AEGONTECH LLC and protected by intellectual property laws. You retain ownership of the persona configurations and content you create. By using the Service, you grant us a limited license to use your content solely for the purpose of providing and improving the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGONTECH LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless AEGONTECH LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may terminate or suspend your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Any unused credits in your account at the time of termination are forfeited unless the termination was due to our error.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
